This agreement applies as between you, the User of this Web Site and creator / owner of the Material that you wish to submit and Stergiou Limited, the owner(s) of this Web Site. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your acceptance of these terms and conditions and your submission of the Material. If you do not agree to be bound by these terms and conditions, you should not submit any Material.
1. Definitions and Interpretation
In this Agreement the following terms shall have the following meanings:

means any online communications infrastructure that Stergiou Limited makes available through the Web Site either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links;
“User” / “Users”
means any third party that accesses the Web Site and is not employed by Stergiou Limited and acting in the course of their employment; and
means the website that you are currently using (stergioubooks.com) and any sub-domains of this site (e.g. subdomain.stergioubooks.com) unless expressly excluded by their own terms and conditions.
2. Material Screening and Conformity
All Material will be screened before it appears on the Web Site. A list of content that we deem appropriate or inappropriate is (but not limited to) is that contains material that:
2.1.1 is sexually explicit;
2.1.2 is obscene, deliberately offensive, hateful or otherwise inflammatory;
2.1.3 promotes violence;

2.1.12 is made in breach of any legal duty owed to a third party including, but not limited to, contractual duties and duties of confidence
If any Material you submit is deemed inappropriate you will be informed of our refusal and reasons for that refusal. If you opt to alter the Material to ensure conformity with our content guidelines you may resubmit it.
3. Intellectual Property
3.1 By submitting Material you warrant and represent that you are the author of such Material and that, where appropriate, you have acquired all of the appropriate rights and / or permissions to use the Material in this fashion. Stergiou Limited accepts no responsibility or liability for any infringement of third party rights by such Material.
3.2 You hereby authorise Stergiou Limited to be your non-exclusive agent licensing your Material to third parties.
3.3 By submitting Material you expressly agree that Stergiou Limited may use your Material in the following ways:
3.3.1 for promotional purposes;
3.3.2 for distribution;
3.3.3 for publication; and
3.3.4 for sale.
You are entitled to receive commission at the rates detailed on our system from Stergiou Limited each and every time any of your Material is sold. Commission is paid by us to you on a quarterly basis and the due amount is greater than £100.00.
5.1 Either Stergiou Limited or you may terminate your Account. If Stergiou Limited terminates your Account, you will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, we reserve the right to terminate without giving reasons.
5.2 If Stergiou Limited terminates your Account, we immediately forfeit all rights to use your Material and your Material will be removed from the Web Site. Any outstanding commission will be paid to you within 14 business days.
5.3 If you terminate your Account, all rights held by Stergiou Limited to use your Material are deemed revoked and your Material will be removed from the Web Site. Any outstanding commission will be paid to you within 14 business days.
7.1 Stergiou Limited makes no warranty or representation that the Web Site will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure and that all information provided will be accurate. We make no guarantee of any specific results from the use of our Services.
7.2 No part of this Web Site is intended to constitute advice and the Content of this Web Site should not be relied upon when making any decisions or taking any action of any kind.
8. Availability of the Web Site
The Service is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and / or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.
Stergiou Limited accepts no liability for any disruption or non-availability of the Web Site resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.
You agree to indemnify, defend and hold harmless Stergiou Limited and, where appropriate, its officers, employees, shareholders, directors and suppliers against all claims, liability, damages, costs and expenses, including reasonable legal costs and expenses, arising out of or related to a breach of these Terms and Conditions, the use of this Web Site, and the use or the inability of use of any Material, your failure to abide by any restriction relating to the use of Material, or any claim by a third party relating to the use of Material.
10. Limitation of Liability
10.1 To the maximum extent permitted by law, Stergiou Limited accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Web Site or any information contained therein. Users should be aware that they use the Web Site and its Content at their own risk.
10.2 Whilst every effort has been made to ensure that these terms and conditions adhere strictly with the relevant provisions of the Unfair Contract Terms Act 1977, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these terms and conditions and shall not affect the validity and enforceability of the remaining terms and conditions. This term shall apply only within jurisdictions where a particular term is illegal.
11. No Waiver
In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.
12. Previous Terms and Conditions
In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise.
All notices / communications shall be given to us either by post to our Premises (see address above) or by email to email@example.com. Such notice will be deemed received 3 days after posting if sent by first class post, the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.
14. Law and Jurisdiction
These terms and conditions and the relationship between you and Stergiou Limited shall be governed by and construed in accordance with the Law of England and Wales and Stergiou Limited and you agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
